BlackRock has filed for a third bitcoin ETF — this time a wrapper engineered to soften bitcoin’s drawdowns in exchange for a ceiling on the gains. The registration, a Form 485APOS filed with the U.S. Securities and Exchange Commission on October 19, 2026, seeks to launch the iShares Bitcoin Managed Protection ETF under the ticker PBIT, according to the filing. The fund’s stated objective: upside exposure to the iShares Bitcoin Trust ETF (IBIT) “up to an approximate limit,” paired with “a level of downside protection.”
Read the pitch the way a trader would. Bitcoin is near $81,685 (Coinbase, 07:12 UTC on October 20), up roughly 33% over 90 days — a move that has drawn in allocators who still flinch at the asset’s double-digit weekly swings. PBIT is BlackRock’s answer: a product that rides bitcoin’s upside up to a point, cushions part of the downside, and never actually holds a single satoshi of the coin.
The mechanics: a three-tranche call spread that caps both ends
The filing names the approach the “Bitcoin Managed Protection Strategy,” and the structure is a hedged options book, not a spot holding. The fund buys call options in three overlapping tranches on what it calls “Bitcoin Reference Assets,” sells calls against them to offset the cost, and parks the rest of the portfolio in fixed-income instruments to generate interest income. The sold calls are the cap: they limit how much the fund participates in any rally beyond the sold strike price.
“Typically, the option tranches have overlapping time periods, with staggered monthly start dates over a calendar quarter, such that each month one tranche expires and a new tranche is added,” the filing states. The point of the staggering is continuity — at any moment the fund carries exposure across a rolling set of expiries rather than a single all-or-nothing bet on one date.
The arithmetic behind the cap is worth spelling out, because it is the whole trade. A call spread works by buying a call at one strike and selling a call at a higher strike against it. If the reference price closes above the higher strike at expiry, the fund’s gain is capped at the distance between the two strikes, minus the net premium paid. The premium collected on the sold call is what subsidizes the purchased call — and that subsidy, plus the interest on the fixed-income sleeve, is what funds the “downside protection.” It is never free. Every dollar of downside cushion is paid for by forfeiting the upside above the sold strike.
The filing is specific about the legs. For each tranche, the spread typically involves buying in-the-money Bitcoin Option contracts — strikes below the reference price when the tranche opens — and selling out-of-the-money contracts above it. BlackRock “generally expects to use Flexible Exchange Options (‘FLEX Options’)” for these positions, a contract type that lets the fund customize strike, style and expiration “while avoiding the counterparty exposure of over-the-counter options positions.” FLEX options are cleared and guaranteed by the Options Clearing Corporation, which steps in as “the buyer for every seller and the seller for every buyer” — a detail that removes the bilateral default risk a retail investor would face trying to build the same trade through a dealer.
BlackRock names Erin Armstrong, Kyle McClements and Richard Mejzak as portfolio managers. The preliminary prospectus leaves the management fee blank — a “____%” placeholder — and lists “Other Expenses” at 0.00%. That blank is the number a trader waits for before deciding whether the wrapper beats doing the spread by hand.
What PBIT does not do
The name overpromises if you skip the prospectus. “The Fund does not invest directly in bitcoin or bitcoin exchange-traded products (‘ETPs’),” the filing states plainly. PBIT is an options-and-bonds product, not a spot vehicle, and the “downside protection” is explicitly “a level” of protection — not principal protection and not a defined buffer like the fixed-outcome ETFs BlackRock sells in its equity lineup.
One distinction separates PBIT from a buffer fund. A defined-outcome ETF promises a specific result — say, absorbing the first 10% of a decline over a set one-year period. PBIT’s prospectus makes no such promise. The protection is a “level,” a function of how much income the bond sleeve generates and how much premium the sold calls collect, both of which move with rates and volatility. The cushion will be wider in some regimes than others, and the filing gives the fund “broad discretion to hold more or fewer tranches and Bitcoin Options with varying expiration periods.”
The filing is candid about the risk that the machinery simply misses: “There can be no assurance that the Fund will achieve its investment objective or that the Bitcoin Managed Protection Strategy will operate as intended, and investors may lose some or all of their money.”
The countercase writes itself for anyone who already trades options. A trader who wants a capped long can buy a call spread on IBIT directly and skip the wrapper’s management fee, its tax complexity, and the drag of the bond sleeve. And in a year where bitcoin runs 50%, a capped fund hands back most of the rally above the sold strike — the protection you bought is the return you forfeited. That trade-off is not a bug in the filing; it is the strategy.
The signal: BlackRock is building for money that wants bitcoin without the drawdown
Strip away the mechanics and the filing reads as a positioning signal. BlackRock already runs the largest spot bitcoin ETF, IBIT — a Delaware statutory trust formed June 8, 2023, that holds bitcoin directly and tracks the CME CF Bitcoin Reference Rate New York Variant. PBIT is the opposite product on the same underlying: it is built for the allocator who wants bitcoin exposure in a portfolio but cannot present a 70% drawdown to a risk committee.
Bloomberg Intelligence’s James Seyffart called it BlackRock’s third bitcoin ETF filing. The first two captured the long-only trade; this one captures the hedged trade, and it lands just as options on bitcoin ETFs are becoming their own market — IEX has pushed to list options on bitcoin ETFs and Goldman Sachs has moved on BlackRock’s bitcoin income ETF, both signs that the derivative layer around spot bitcoin is where the next institutional dollars are concentrating.
The timing matters. Downside protection is a product you can only sell into a market that has already gone up enough to make the drawdown the fear. Bitcoin near $82,000 after a 33% quarter is exactly that market — buyers want the upside, but they now have enough on the table to pay for a hedge.
What to watch next
The 485APOS is preliminary. The SEC has not approved or disapproved the securities, and no shares can be sold until the registration is declared effective — which, per the filing’s own “75 days after filing” checkbox, points to roughly early January 2027. The concrete next signal is the fee. When BlackRock fills in the blank management fee, the market can finally price the wrapper against the do-it-yourself spread.
The bottom line: PBIT is not a bitcoin ETF in the way IBIT is. It is a structured product wearing an ETF wrapper — a three-tranche call spread plus a bond sleeve, engineered to trade bitcoin’s tail risk for a slice of its upside. For the allocator who wanted exposure and balked at the volatility, that is a real product. For the trader, it is a reminder that every hedge has a cost, and here the cost is printed directly in the strategy: the sold call is the ceiling.
