CryptoPawn, a Delaware-licensed pawnbroker focused on digital assets, today published a new industry framework detailing four key requirements—identity, permission, collateral, and liability—that must be resolved before automated AI agents can participate in regulated crypto-backed transactions.
AI agents are already moving beyond information retrieval and into transactions. New wallet infrastructure allows software agents to hold and transfer digital assets, while machine-payment protocols enable programmatic payments for digital services.
Some technical building blocks for borrowing already exist. Developer frameworks allow agents to supply collateral, borrow and repay on decentralised finance protocols. These are protocol-level transactions, not examples of regulated lenders treating AI agents as independent borrowers. Broader regulated use still depends on identity, authority, compliance and risk controls.
1. The First Issue is Identity
An autonomous software agent is not automatically the legal customer in a financial transaction. Where an agent acts for an individual or business, the verified person or legal entity remains the contractual party and the agent operates only within the authority granted to it.
Under the US federal E-SIGN Act, a contract cannot be denied legal effect solely because an electronic agent was involved, provided the agent’s action is legally attributable to the person being bound. That recognition does not displace customer identification, due diligence or licensing requirements.
2. The Second Issue is Permission
Any system allowing an agent to initiate borrowing would need clear limits around what it could pledge, how much it could borrow, the agreement duration and when human approval would be required.
An agent might be authorised to pay routine operating expenses but not to pledge assets as collateral. Records would therefore need to show what the agent was permitted to do and whether its action fell within the owner’s mandate.
3. The Third Issue is Collateral
Borrowing against Bitcoin, Ethereum or other crypto collateral requires clarity over ownership and the right to place that asset at risk. Wallet access alone does not establish authority to pledge the assets held within it.
An agent may be technically capable of moving an asset while still lacking legal authority to encumber it. Any agent-enabled model would need to connect wallet access, ownership and permission to use those assets as collateral.
4. The Fourth Issue is Liability
If an agent exceeds its mandate, acts on outdated information or makes a decision its owner disputes, the contractual framework will need to determine where responsibility lies.
NIST’s work on AI-agent security examines least-privilege authorisation, binding agent identity to human authority, tamper-resistant auditing and prompt-injection controls. The US Treasury’s 2026 Financial Services AI Risk Management Framework similarly emphasises accountability, transparency and resilience in financial-sector AI deployments.
These questions apply differently to agents operating within predetermined rules and agents acting as digital representatives for people or businesses.
For CryptoPawn, the second model provides the clearer practical connection. Under its current process, the human or business customer remains the verified contractual party. CryptoPawn’s AI-agent onboarding model is designed around that principal-agent relationship: a verified principal can authorise an agent to assist within defined permissions, while the principal remains the borrower and owner of the pledged collateral.
Agentic commerce raises a broader question than whether software can make a payment. As agents gain greater ability to act with money and digital assets, financial infrastructure will need to define the boundaries of their economic authority. The practical question is how authorised software can participate in a crypto-backed transaction while the verified customer retains control of identity, collateral and contractual responsibility.
