Strive priced its Bitcoin-treasury preferred offering on October 15, and the deal came in larger than the plan. The company announced it will sell 7 million shares of its 15% Series A perpetual SATS preferred stock at $90 each — an upsize of 2 million shares over the amount previously announced — for gross proceeds of about $630 million. Settlement is scheduled for October 20, subject to customary closing conditions.
The upsize is the story. Strive had outlined a $500 million preferred offering earlier this week; the priced deal lands at roughly a quarter more capital, a signal that demand for bitcoin-linked yield paper ran ahead of the initial plan. Proceeds remain earmarked for “bitcoin and bitcoin-related products,” working capital, income-generating assets, share repurchases, and potential acquisitions, Strive said. The raise extends a strategy in which the company treats bitcoin as the hurdle rate every new commitment must clear, and its SEC-registered advisory arm manages more than $2.8 billion in assets.
An Upsize Worth $180 Million
The arithmetic is straightforward. At $90 per share, the 2 million additional shares add about $180 million, lifting gross proceeds from the roughly $500 million the company had indicated to $630 million before underwriting discounts and expenses. An upsize of this size typically follows an oversubscribed book, meaning the underwriters found more buyers than there were shares to sell. Barclays and Cantor are joint book-running managers, with Clear Street as lead manager.
The Yield Question at $90
Pricing the shares at $90 changes the math for buyers. The dividend is 15% of a $100 stated amount, or $15 a year per share — but an investor who pays $90 receives an effective yield of about 16.7%. Strive is pre-funding the first 18 months of dividends, a reserve that now totals about $157.5 million across 7 million shares, up from roughly $112.5 million under the original five-million-share plan. The countercase is the risk behind that yield: a fixed 15% cumulative dividend is a heavy cost for a company whose benchmark asset can fall sharply in a single month, and the upsize implies enough buyers judged the yield and the $100 liquidation floor worth that volatility.
What the Pricing Leaves Open
The release does not specify how much of the $630 million will flow into bitcoin versus working capital or buybacks, so the offering is not a pure bitcoin bet. Settlement on October 20 remains subject to closing conditions, and dividends are payable only when declared by the board, beginning on the November 9 payment date. The next signals are whether the deal settles on schedule, how Strive deploys the proceeds, and the size of its next disclosed purchase for the bitcoin treasury it has been building through regular buys. If bitcoin trades below its recent levels through the first dividend periods, that 15% obligation would have to be met from Strive’s other cash-generating assets rather than the treasury’s appreciation.
