Circle Internet Group (NYSE: CRCL) and Binance said on Sept. 22 that the crypto exchange will make a $100 million strategic equity investment in the stablecoin issuer, alongside a new five-year agreement focused on expanding USDC access across emerging markets, according to a joint announcement. The deal extends a multi-year relationship between the world’s largest crypto exchange and the issuer of the largest regulated dollar stablecoin.
How the $100 Million Investment Works
Binance made the equity investment through a private placement of Circle Class A common stock at a price reflecting a five percent discount to CRCL’s market price before closing. The exchange has agreed not to transfer the shares for up to two years from the closing date, subject to customary exceptions. The two companies described the arrangement as an expansion of their strategic partnership rather than a one-off capital injection.
A Five-Year Push to Grow USDC
The new commercial agreement calls for Binance to accelerate the promotion, awareness, and integration of USDC on its platform, particularly in emerging markets, while Circle provides the infrastructure services that support holding and using the stablecoin. Circle positions USDC as a way to expand dollar access and support savings and investment products. The two companies have previously teamed up to drive global USDC adoption.
What the Executives Said
“Circle has earned its place as one of the most credible issuers in the world, spanning USDC, Arc, and the infrastructure reshaping how value moves across borders. Our $100 million investment and five-year commitment represent long-duration conviction,” said Richard Teng, co-CEO of Binance. Jeremy Allaire, Circle’s co-founder and CEO, said the companies “see incredible opportunities to leverage USDC to expand dollar access, support savings and investment with innovative digital asset products, and reach people and businesses throughout global emerging markets.”
Why the Deal Matters
The arrangement pairs Binance, which says it serves more than 300 million users across over 100 countries, with the issuer of USDC, which Circle describes as the world’s largest stablecoin network anchored by its Circle Payments Network and Arc, an enterprise-grade blockchain. It extends Circle’s efforts to widen USDC distribution, which have included native launches on major trading venues. Both companies described the investment as long-term, reinforced by the two-year share lockup and the five-year commercial agreement.
