HTX, the global crypto exchange formerly known as Huobi, has stopped operating in the United Kingdom after settling a High Court case with the Financial Conduct Authority over unlawful financial promotions. The regulator confirmed the settlement in a press release published on 29 October 2026, closing a dispute that began when it took legal action against the exchange in October 2025 for breaking UK financial promotion rules.
The corporate entity in the case is Huobi Global S.A., the operating company that carried the Huobi name before the platform rebranded to HTX. That continuity is why the FCA framed the action against the group’s offshore structure rather than a UK-licensed subsidiary, and it explains why the regulator’s jurisdiction argument turned on financial promotions reaching UK consumers from abroad.
The FCA secured undertakings from Huobi Global S.A., the first defendant in the proceedings, recorded in a Tomlin order dated 27 October 2026. The practical effect is a full market exit: consumers can no longer make deposits, new UK users cannot sign up, and the platform will not “target, solicit or actively seek to engage UK consumers,” the regulator said.
“Crypto firms should be under no illusion: being based overseas does not put them beyond the reach of UK law,” said Steve Smart, the FCA’s executive director of enforcement and market oversight. “Our action means HTX is leaving the UK and can no longer target UK consumers. The message to other firms is clear: follow the rules or face the consequences.”
The Procedural Path From October 2025 to a Tomlin Order
The case against HTX was slow-building and, by the regulator’s own account, adversarial. Proceedings were commenced in the Business and Property Division of the High Court on 21 October 2025, following legal action the FCA took earlier that month over alleged breaches of the financial promotion regime. The FCA only publicly announced its enforcement action on 10 February 2026.
One line in the settlement notice is blunt about the relationship: the regulator wrote that “HTX had failed repeatedly to engage with the FCA.” Only after proceedings were underway did the exchange begin taking steps to exit the UK, the regulator said.
The timeline from the commencement of proceedings to the settlement announcement spans 373 days, just over twelve months. By contrast, the gap between the FCA’s public announcement of its action and the settlement runs 261 days. Either way, this is a long runway for a financial-promotions case, and it shows how far the regulator was prepared to travel to pull an offshore operator back inside the UK perimeter.
A Tomlin order is the standard mechanism for ending English litigation by agreement: the parties settle on terms, the claim is stayed, and the agreed undertakings are scheduled to the order so they can be enforced without a fresh trial. Here that meant Huobi Global S.A. gave the court binding commitments rather than the FCA extracting a contested judgment.
What the Undertakings Actually Prohibit
The court order binds Huobi Global S.A. not to knowingly, directly or indirectly, communicate or cause to be communicated a financial promotion in contravention of section 21 of the Financial Services and Markets Act 2000. That restriction covers the HTX website, its software applications, and its social media accounts.
Section 21 is the statutory restriction on communicating invitations or inducements to engage in investment activity in the course of business. Cryptoasset financial promotions already sit inside that regime for unauthorised firms, which is why an overseas operator can be pursued over its UK-facing marketing even when its trading infrastructure sits elsewhere.
The regulator was also explicit about where the UK regime stands more broadly. Crypto “remains largely unregulated in the UK, except for anti-money laundering and financial promotions until October 2027,” the notice states. That date marks the point at which the UK’s wider cryptoasset regime is due to take effect, and it is the next procedural milestone for every exchange with UK exposure.
For UK customers, the outcome is immediate. “HTX is no longer active in the UK,” the FCA wrote, and no new registrations or deposits are possible. The regulator directed UK users to the information published on HTX’s own website covering the availability of its services and the arrangements for withdrawing any residual assets.
The FCA also pointed consumers to its Firm Checker and repeated its standing warning that cryptoassets are high-risk investments. The messaging is deliberately procedural: the regulator is treating the UK exit as an enforcement outcome, not a negotiated parting of ways, and it wants the departure itself to read as a deterrent to other platforms that might assume a foreign registration shields them from local promotion rules.
A Settlement Without a Fine, and What It Does Not Prove
The terms of the settlement are confidential, and the FCA was careful to state that the settlement “does not constitute an admission of liability or wrongdoing by Huobi Global or any other person or entity.” No monetary penalty was announced alongside the undertakings.
That distinction matters. The undertakings restrain future conduct; they do not establish a finding about past breaches. HTX has presented the move as an orderly exit, while the regulator has presented it as enforcement. Both framings can be true at once, and the confidential nature of the settlement means the outside view cannot resolve which is closer to the full record.
The Compliance Squeeze on Global Exchanges
HTX’s exit is not an isolated event. It lands weeks after KuCoin discontinued services in Russia and Belarus, and it arrives as the FCA tightens its own perimeter through the cryptoasset perimeter guidance it published in September. The common thread is that regulators are no longer treating an offshore domicile as a workaround for local promotion rules.
Smart’s warning is aimed squarely at that point. The next observable signal is whether other exchanges with UK-facing operations pre-emptively adjust before October 2027, and whether the FCA’s willingness to litigate for over a year rather than issue a warning becomes the standard posture for financial-promotions cases. For users, the practical question is simpler: which offshore platform, if any, is the next to receive a similar notice.
